Corporate Tax

Recent achievements include negotiating reduced transfer pricing adjustments for UK sales company and UK company with large interest free loan made to holding company.
Group re-organisations / MBO / MBI
• Planning, advising on and implementing re-organisations using ‘paper for paper’, partitions under S110, demergers, including forming property investment company group. This involved partitioning 50/50 companies, creating different classes of shares and an appeal to the Special commissioners against refusal of a S138 clearance application.
• Planning and advising on the purchase and sale of interests in companies involving purchase of own shares, combined purchase of own shares and outright sale and using Newco to finance purchase out of past and future profits and to attract outside finance.

Advising on tax implications of agreements for the purchase and sale of shares, including tax indemnities and warranties.
Advising on EIS relief and agreeing claims.
Advising on EMI schemes.

Charities

I am a specialist in advising charities on taxation matters, particularly those relating to tax effective giving, fundraising and trading, including the establishment and running of trading subsidiaries.
Written and lectured on these subjects and with the Charities’ Tax Group I am involved in the consultation process leading up to taxation reforms to direct tax legislation relating to charities.
Recent achievements include reviewing complex property transactions by charity and agreeing exemption for profit on sales of surplus land to developers.
Advising on direct tax issues, including restructuring non-qualifying loans, primary purpose trading and use of subsidiaries.
Advising on Gift Aid and Deed of Covenant audits and investigations.
Writing for LexisNexis and lecturing on charity tax issues

Employment Taxes

Advice on employment tax matters and handling enquiries from HM Revenue & Customs, including contesting their arguments and negotiating settlements on behalf of clients.
